Flight Hour means: (a) with respect to the Airframe, each hour or part thereof which elapses from the time the wheels of the Airframe leave the ground on takeoff to the time when the wheels of the Airframe touch the ground on landing; and (b) with respect to an Engine or other engine or any Part or part, excluding the APU (to which the APU Hours shall be applicable), each hour or part thereof which elapses from the time the wheels of the airframe, whether or not the Airframe leased hereunder, on which such Engine or other engine or Part or part is installed, leave the ground on takeoff to the time when the wheels of such airframe touch the ground on landing. Force Majeure Eventmeans any of the following events or occurrences:acts of God or public enemy, civil war, insurrection or riot, fire, flood, explosion, earthquake, serious accident, epidemic, quarantine restriction or import restriction,or any act of government, governmental priority, allocation, regulation or order affecting directly or indirectly, the Aircraft, the Manufacturer, any other manufacturer, Lessee Lessoror any materials or facilities. Governmental Entity means: (a) any national, federal, state or local government, or any board, commission, bureau, department, division, instrumentality, court, agency, regulatory authority, taxing authority or political subdivision thereof; and (b) any association, organization or institution of which any entity referred to in paragraph (a) above is a member or to whose jurisdiction any such entity is subject or in whose activities any such entity is a participant. Habitual Base means the PRC or, subject to the prior written consent of Lessor, any other country in which the Aircraft is based from time to time pursuant to Clause 13.1 (Possession and subleasing). Hard Time Component means any Part or component, other than an Engine Life Limited Part or a Landing Gear Life Limited Part, that has a predetermined time limit or interval in accordance with the MPD or as required by CAAC or the FAA or EASA which requires such Part or component to be overhauled or recertified upon reaching such time limit or interval, which is not a Life Limited Part. HNA Group means the group of companies of Lessee and its Affiliates and Subsidiaries. HKIAL means HONG KONG INTERNATIONAL AVIATION LEASING COMPANY LIMITED, a company incorporated in accordance with the laws of Hong Kong SAR. IDERA means an irrevocable de-registration and export request authorisation in respect of the Aircraft in form and substance acceptable to the Lessor. International interest, national interests, non-consensual right or interest, prospective international interest and State have the meanings as expressed in the Cape Town Convention and Protocol. Issuing Bank means Agricultural Bank of China, Bank of China, China Construction Bank, China Development Bank, Export-Import Bank of China, Industrial and Commercial Bank of China, Bank of Communications, China Merchants Bank, China Everbright Bank, Shanghai Pudong Development Bank, China CITIC Bank or any other bank which is agreed by Lessor and Lessee. |
