Agreed Value means, on the Delivery Date, USD$ 106,116,837 and on each anniversary from the second (2nd) anniversary of Delivery Date, the Agreed Value shall bereduced by three per cent (3%) of the then current Agreed Valuein effect on the day immediately preceding such anniversary of Delivery Date. Aircraft means the Airframe, together with each Engine, whether or not any of such initial or substituted Engines may from time to time be installed on the Airframe or on any other aircraft and, where the context so permits, shall include the Aircraft Documentation. Airworthiness Directiveor “AD” means any airworthiness directive issued by EASA or the Aviation Authority. Aircraft Documentation means (a) all the records, logs, manuals, technical data, other materials and documents referred to in Schedule 11 (Aircraft Documentation) and (b) all additions, renewals, revisions and replacements from time to time made thereto in accordance with this Agreement. Aircraft Related Activity means the purchase, manufacture, ownership, possession, import, export, registration, non registration, performance, transportation, management, disposal, control, design, condition, inspection, testing, delivery, non delivery, sub-leasing, maintenance, repair, refurbishment, insurance, reinsurance, lack of insurance, service, modification, overhaul, replacement, storage, removal, redelivery, use or operation of the Aircraft, the Airframe, any Engine or any Part by any person (whether in the air or on the ground). Airframe means: (a) the Airbus Model A330-343 aircraft bearing manufacturer’s serial number 1838 excluding any Engines or other engines that may be installed on such aircraft from time to time, leased by Lessor to Lessee hereunder, as further specified in more details in the Lease Supplement; and (b) any and all Parts, so long as the same shall be incorporated in or installed on or attached to the Airframe or so long as title thereto shall remain vested in Lessor in accordance with the terms of Clause 17 (Replacement of Parts) after removal from the Airframe. Airframe Structural Check meanseither or all of: (a) an Airframe “4C”/6 year structural check (including 6 year structural inspections and all inspections with an inspection interval of less than 6 years); (b) an Airframe “8C”/12 year structural check (including 12 year structural inspections and all inspections with an inspection interval of less than 12 years), in each case ensuring that all tasks falling due within the next C-check are accomplished each in accordance with Lessee's Maintenance Program, which, at a minimum, shall comply with the then current Manufacturer's Maintenance Planning Document. Airframe Warranties has the meaning given to “Warranties” in the Airframe Warranties Agreement. Airframe Warranty Agreement means the airframe warranty agreement executed by the Manufacturer in the form of a deed poll together with a supplement agreement entered into between Lessor and Lessee in which Lessor undertakes not to remove Lessee as the sole Entitled Party (as defined in the Airframe Warrranty Agreement) unless any Event of Default occurs and is continuing. |
