Purchase Agreement means a sale and purchase agreement entered into or to be entered into between, the Seller and Lessor on or about the same date hereof in respect of the purchase of the Aircraft. Purchase Agreement Assignment means a purchase agreement assignment dated on or about the Delivery Date in respect of the Aircraft and the Purchase Agreement. QuotationDay means, in relation to any period for which LIBOR is to be determined, three (3) Business Days before the first day of that period, unless market practice differs in the London interbank market or any other relevant interbank market for a currency, in which case the Quotation Day for that currency will be determined by the Lessor in accordance with market practice in the relevant interbank market (and if quotations would normally be given by leading banks in the relevant interbank market on more than one day, the Quotation Day will be the last of those days). Redelivery means the redelivery of the Aircraft in accordance with Clause 23 (Return of Aircraft and Aircraft Documentation). Redelivery Check means the heavy maintenance check to be performed on the Aircraft at Redelivery, as referred to in Schedule 3 (Redelivery Condition). Redelivery Location means: (a) the facilities of the Approved Maintenance Performer performing the Redelivery Check within China; or (b) such other location agreed by Lessor and Lessee. Reference Banks [TBD].. Relevant Obligations means all obligations and amounts owed and payable by Lessee to Lessor or to any Affiliate of Lessor under each Lease Document (or any other aircraft and engine lease agreement between Lessee and Lessor or any Affiliate of Lessor). Relevant Party means each of the Lessor, Owner, Lessor Parent and each Finance Party. Rent means USD$782,000 per month payable for the Aircraft as set out in Clause 6.1 (Rent)) . Rent Payment Date meanseach monthlydate after the Delivery Date. Return Certificate means the return certificate substantially in the form of Schedule 9 (Return Certificate) executed at Redelivery in accordance with Clause 23.6 (Acceptance). Scheduled Delivery Date means thedate notified by Lessor to Lessee within thirty (30) Days prior written notice or such new date as determined in accordance with this Agreement, which shall be a Business Day. Scheduled Delivery Month means thedate notified by Lessor to Lessee with one month prior written notice or such new month as determined in accordance with this Agreement. Screen Rate means the rate shown on the "LIBO01" page on the Reuters screen or such other page as may replace the "LIBO01" page on that system for the purpose of displaying offered rates for Dollar deposits. Security Deposit has the meaning given to it in Clause 6.6 (Security Deposit). Security Trustee means any person from time to time notified in writing by Lessor to Lessee as the security trustee for the Finance Parties (or any of them). |
