BFE/SPE means any equipment defined as buyer-furnished equipment or seller-purchased equipment and/or which is to be provided to the Manufacturer for incorporation into the Aircraft regardless of whether such equipment is provided by or for and on behalf of the Seller or Lessor (as the case may be) as buyer-furnished equipment or provided by the Manufacturer at the direction of the Seller or Lessor (as the case may be).
Bill of Sale means the bill(s) of sale dated the Delivery Date from the Seller to the Lessor in respect of the Aircraft substantially in the form set out in schedule 1 (Bill(s) of Sale) to the Purchase Agreement.
Business Day means any day other than a Saturday, Sunday or other day on which commercial banking institutions in the city of Kunming, Zhengzhou, London (for the purpose of determining LIBOR only), New York (in the event that USD is payable) or Toulouse (for matters in relation to the Delivery of the Aircraft) are authorised by Applicable Law to be closed.
CAAC means The Civil Aviation Administration of the PRC.
Cape Town Convention means the Convention on International Interests in Mobile Equipment and the Protocol to the Convention on International Interests in Mobile Equipment on Matters Specific to Aircraft Equipment, both signed in Cape Town, South Africa, on 16 November 2001, together with any protocols, regulations, rules, orders, agreements, instruments, amendments, supplements, revisions or otherwise that have or will be subsequently made in connection with the Cape Town Convention by the “Supervisory Authority” (as defined in the Cape Town Convention), the “International Registry” or “Registrar” (as defined in the Cape Town Convention) or any other appropriate “registry authority” (as defined in the Cape Town Convention) or other international or national body or authority, subject to any declarations of a contracting state.
“C” Check or C Check means each C or equivalent systems/zonal/structural check performed at intervals of 7,500 Flight Hours or 24 calendar months or such other interval as defined in the then latest revision of the MPD which shall be performed by an Approved Maintenance Performer.
Compulsory Acquisition means the requisition of title or other compulsory acquisition, requisition, appropriation, condemnation, expropriation, deprivation or confiscation for any reason of the Aircraft or any Engine by a Governmental Entity, whether de jure or de facto, but shall exclude requisition for use not involving requisition of title.
Country of Registration means the PRC or such other jurisdiction in which the Aircraft is (in accordance with this Agreement) then registered.
Cycle means:
(a)    with respect to the Airframe, one take-off and landing of the Airframe; and
(b)    with respect to an Engine or other engine or any Part or part, one take-off and landing of the Airframe or other airframe on which such Engine or other engine or Part or part is installed.  Lessee shall utilise Engine Manufacturer’s engine manual instructions for calculating the effect of any touch and go landings on the respective Life Limited Parts Cycles of use since new.
