For this purpose “take-off and landing” shall include touch and go take-off and landing.
Damage Notification Threshold means US$500,000.
Default means an event or circumstance which, with the passing of time and/or the giving of notice and/or the making of any determination and/or the satisfaction of any condition, would constitute an Event of Default.
Default Rate means a rate equal to the aggregate of one (3) month LIBOR and 4.8% per annum, but, if prohibited by Applicable Law, the maximum rate permitted by Applicable Law.
Delivery means the delivery of the Aircraft by the Lessor to the Lessee under this Agreement.
Delivery Date means the date of the Lease Supplement for the Aircraft, which date shall be the same date on which:
(a)    the Aircraft is delivered to, and accepted by, Lessee under this Agreement; and
(b)    Owner purchases the Aircraft from the Seller pursuant to the Purchase Agreement and the title to the Aircraft is transferred to Owner.
Delivery Location means Toulouse, France or such other location as may be mutually agreed between Lessor and Lessee in writing.
Dollars, USD or US$ means the lawful currency of the United States of America.
EASA means the European Aviation Safety Agency (as successor to the Joint Aviation Authority), created pursuant to the European Union and Counsel Regulation No. 1592/2002 (as the same may be amended, modified, superseded or re-enacted from time to time), or any successor thereof, and any other person or Governmental Authority succeeding to any of the functions thereof. 
EMM means the then current revision of the engine maintenance manual issued by the Engine Manufacturer.
Engine means:
(a)    each of the two Rolls Royce Trent 772B engines, specified by manufacturer’s serial numbers in the Lease Supplement entered into on the Delivery Date (or an engine which may from time to time be substituted for such an Engine pursuant to the terms of this Agreement), whether or not from time to time installed on the Airframe or installed on any other aircraft; and
(b)    any and all Parts, so long as the same shall be incorporated in or installed on or attached to such Engine (or engine) or so long as title thereto shall remain vested in Owner in accordance with the terms of Clause 17 (Replacement of Parts) or Clause 18 (Alterations, Modifications and Additions) after removal from such Engine (or engine).
Engine Management Programme (EMP) means the Engine Manufacturer’s then current engine maintenance and inspection recommendation document which describes the routine maintenance and inspection requirements for the Engine and which will be used to define (a) routine maintenance tasks and inspections in the Maintenance Programme and (b) in conjunction with Engine manual, Engine Airworthiness Directives and service bulletins and other approved manufacturer documents, will be used to produce the engine shop visit scope of work.
